Governing Law and Disputes

These Terms and Conditions shall for all purposes be governed, interpreted, construed and enforced solely and exclusively in accordance with the laws of the State of Pennsylvania, USA, without regard to conflicts of law provisions thereof. Any controversies or claims arising out of or relating to these Terms and Conditions, or the breach thereof, shall be settled by one arbitrator under the auspices of the American Arbitration Association under its Commercial Arbitration Rules. Any such arbitration shall be conducted in the State of Pennsylvania, USA. The arbitrator’s award shall be final and binding and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Notwithstanding anything to the contrary in these Terms and Conditions, since you recognize that breach of this Agreement may cause Trinity IT irreparable injury, Trinity IT, in addition to all other remedies, shall have the right to equitable or injunctive relief anywhere, as it deems fit, in the event of any actual or attempted breach of your obligations hereunder. 

United States Legal Compliance

You represent and warrant that (i) you are not located in a country that is subject to the United States government embargo, or that has been designated by the United States government as a "terrorist supporting" country, and (ii) You are not listed on any United States government list of prohibited or restricted parties.

Severability and Waiver

SEVERABILITY

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

WAIVER

Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party's ability to exercise such right or require such performance at any time thereafter nor shall the waiver of a breach constitute a waiver of any subsequent breach.
